These Terms & Conditions are between you (The Purchaser) and us (TNeX
Systems Limited). |

Quotations |

All
quotations are valid for 30 days unless otherwise stipulated on the quotation.
All prices shown on quotations are in UK Sterling unless otherwise
indicated. |
| 3 |
Delivery |
| |
Delivery
of goods and/or services will be stated on the quotation. Delivery times are approximate if TNeX Systems Limited is dependant on other 3rd party
suppliers. Goods will have been deemed delivered when handed to
carriers/couriers.
Delivery costs, including couriers and insurance, are included where shown on
quotation. |

Retention of
Title |

Property
in the goods will not pass to you (The Purchaser) until we (TNeX Systems
Limited) have received payment in full. We (TNeX Systems Limited) reserve the
right to enter your premises and remove the supplied goods at any
reasonable time if payment is not made in full within a reasonable or an agreed
period. |

Copyright |

Copyright
and other intellectual property rights deriving from any provided service
remain with TNeX Systems Limited unless a written agreement with you has been
reached. |

VAT |

TNeX
Systems Limited has since 1st July 2003 been registered for VAT: Our
registration number is GB 816 2559 24. |

Payment
Methods |
| |
Payment
methods are Cash (Sterling, Euros are subject to a conversion fee), Cheque
(drawn on a UK Bank in Sterling) and BACS Transfer. Invoicing will carry the necessary information
for BACS transfers. TNeX Systems Limited does NOT at this time handle Credit or
Debit card payment. |

Credit
Terms |
| |
Payment
in full for goods and/or services should be made within 15 days of delivery of
goods and/or services or date of invoice, whichever is the latter.
TNeX Systems Limited reserve the right to charge interest on late payments as
afforded by The Late Payment of Commercial Debts (Interest) Act 1998, as
amended and supplemented by the Late Payment of Commercial Debts Regulations
2002. |

Cancellation |

TNeX
Systems Limited reserves the right to suspend or cancel deliveries and/or work
if any payment is not made on its due date. This also applies if payment
becomes outstanding on any previous orders from you (The Purchaser). Orders,
once placed by you (The Purchaser) cannot be cancelled nor may products be
returned for credit without the written approval of TNeX Systems Limited. |

Defects |
| |
All
goods are supplied with original manufacturers warranties. Where we (TNeX
Systems Limited) have supplied you with original receipts for goods purchased,
then you (The Purchaser) hold the warranty. Problems should be addressed in the
first instance to TNeX Systems Limited. All services will be provided with
reasonable skill and care, and all goods will be of satisfactory quality and
fit for purpose.

Force
Majeure |

TNeX
Systems Limited reserves the right to be released by you (The Purchaser) from
all liability to you (The Purchaser) if performance of the contract is delayed
or prevented by any cause beyond our (TNeX Systems Limited) control. |

Disputes |
| |
All
disputes will be governed by applicable UK Legislation unless otherwise agreed
in writing. |
